“Site” encompasses the Black Innovation Leaders of Florida’s website and all of its content and policies, including Member-only areas, membership dashboards, directories, payment pages, communication tools, and any modifications, updates, enhancements, revisions, new features, and/or the addition of any new web properties. BILF reserves the right to make any site changes at any time and without prior notice.

BILF reserves the right to revise, supplement, update, delete, and change these Terms of Use at any time at its sole discretion and without notice to you. All changes are effective immediately upon being posted. Your continued use of this site after any changes will mean you accept those changes.

BILF reserves the right to:
Approve or deny membership applications at its discretion
Restrict or remove access to membership features at any time
Modify membership features, content, pricing, or availability
Directory and Member Information Use Restrictions
If the Site provides access to a member directory, roster, profiles, contact information, or similar tools (“Directory”), you agree that the Directory is provided for community collaboration and relationship-building purposes only.
You may not use the Directory or any member information to:
Build, compile, or create a marketing list or solicitation list
Send mass messages, unsolicited sales outreach, promotional offers, or spam
Scrape, copy, harvest, or extract data manually or through automated tools (including bots, crawlers, extensions, scripts, or plugins)
Sell, rent, share, distribute, publish, or repurpose Directory information outside of the intended BILF community use
Contact individuals or organizations for the express purpose of harassment, intimidation, threats, or harm of any kind
BILF may monitor usage patterns of membership tools, including Directory usage, to protect member privacy and the integrity of the platform.
Code of Ethics / Community Standards
All Members and visitors are expected to engage in a respectful, professional, and ethical manner when interacting with the Site and any Membership Services.
You agree not to:
Misrepresent your identity, role, organization, or affiliation
Use the Site to exploit, manipulate, or target members for personal gain
Engage in discriminatory, hateful, abusive, threatening, or harassing conduct
Post or distribute content that is defamatory, obscene, unlawful, or violates the rights of others
BILF reserves the right to remove content, limit interactions, or restrict participation for conduct that violates these Terms or undermines the integrity of the BILF community.
Non-Participation and Membership Inactivity
BILF is committed to maintaining an active, engaged membership community. To support a thriving network, BILF may revoke, suspend, or decline renewal of membership if a member demonstrates extended inactivity.
For purposes of these Terms, “non-participation” may include, without limitation, a lack of engagement in member communications, events, community initiatives, or platform participation for nine (9) months or more, as determined by BILF in its reasonable discretion.
BILF may provide a notice or re-engagement opportunity prior to removal, but is not required to do so.
Website Use Restrictions
Unauthorized copying, displaying, or use of any content from this site is a violation of law. The site is for personal and non-commercial use only, unless expressly authorized in writing by BILF. Users may not:
Post defamatory, obscene, threatening, or unlawful materials.
Contact individuals, organizations, members or board members for the express interest of harassing, molesting or attempting to threaten those listed on the site with financial, physical, emotional or social harm.
Copy, reproduce, modify, sell, or distribute intellectual property without permission.
Use the site in a manner that violates laws or regulations.
Attempt to gain unauthorized access to the Site, membership areas, payment systems, servers, or networks.
Interfere with the security or operation of the Site, including by introducing viruses or malicious code.
Payment, Renewals, and Cancellations (If Applicable)
If you purchase a membership, you agree to pay all applicable fees, including recurring fees if offered as a subscription, and any taxes that may apply. Membership fees are processed through third-party payment processors.
Unless otherwise stated, memberships may renew automatically. You may cancel renewal through your account settings or by contacting BILF for support prior to the next billing cycle.
BILF reserves the right to change membership pricing, features, or access requirements at any time, including for renewals, with updates posted on the Site.
Refund Policy
Unless expressly stated otherwise in writing, membership fees are non-refundable. BILF may consider refund requests on a case-by-case basis at its sole discretion.
Trademarks and Service Marks
The Black Innovation Leaders of Florida name and logo are trademarks of BILF. Other trademarks displayed on this site belong to their respective owners. No BILF trademark may be used as a hyperlink without prior written permission.

Notices and Procedures for Copyright Infringement Claims

Post content that is defamatory, obscene, or unlawful.
Upload viruses or harmful software.

Governing Law
