Membership Terms & Community Access Agreement

These Membership Terms (“Membership Terms”) govern membership access to Black Innovation Leaders of Florida (“BILF,” “we,” “us,” or “our”) membership services made available through www.blackinnovationfl.org (the “Site”), including MemberPress-powered membership features such as member-only content, directories, online forums, communications tools, and other related services (collectively, the “Membership Services”).

By registering for a membership, accessing member-only areas, or using the Membership Services, you agree to be bound by these Membership Terms, as well as our Terms of Use, Privacy Policy, and Code of Conduct / Code of Ethics (collectively, the “BILF Policies”).

If you do not agree, do not access or use the Membership Services.

1) Membership Purpose and Community Values

BILF membership exists to strengthen connection, collaboration, ethical leadership, and opportunity-building across our ecosystem.

Membership is a community privilege and is intended for members who demonstrate professionalism, integrity, and respect for others.

2) Eligibility and Account Registration

To become a member, you agree that:

  • The information you submit is accurate, current, and complete

  • You will maintain and promptly update your profile information

  • You will not impersonate another person or organization

  • You will comply with all applicable laws and all BILF Policies

BILF may approve, deny, revoke, or discontinue membership access at its discretion as outlined in these terms.

3) Membership Tiers, Features, and Access

Membership tiers, pricing, and benefits may vary and are presented on the Site at the time of enrollment. BILF may add, remove, or modify membership features at any time, including:

  • Member-only resources

  • Events or trainings

  • Private community spaces

  • Member directory access

  • Discounts or benefit programs

Some features may be limited based on membership type, eligibility criteria, or availability.

4) Member Directory Rules (No Marketing Lists / No Scraping)

If your membership includes access to a member directory, roster, profiles, contact tools, or similar (“Directory”), you agree that:

Directory Permitted Use

You may use the Directory only for:

  • Peer collaboration

  • Referral-building within the community

  • Professional networking aligned with BILF’s mission

  • Community relationship-building and participation

Directory Prohibited Use

You may not use the Directory to:

  • Create or compile a marketing list or solicitation list

  • Send mass unsolicited outreach, spam, or promotional messages

  • Scrape, harvest, crawl, extract, copy, or download member data (manually or automatically)

  • Sell, rent, publish, share, distribute, or repurpose member contact information outside the BILF community

  • Use member information for harassment, intimidation, or coercion

BILF reserves the right to restrict directory access, audit usage patterns, and take enforcement action if misuse is suspected.

5) Member Communications & Outreach Standards

Members may contact other members only in ways that are:

  • Relevant and respectful

  • Professional and mission-aligned

  • Not excessive or unwanted

  • Compliant with the Code of Conduct

If a member requests that you stop contacting them, you agree to stop promptly.

6) Code of Ethics / Code of Conduct

All members must comply with BILF’s Code of Conduct / Code of Ethics, including expectations related to:

  • Respect and inclusion

  • Harassment-free participation

  • Ethical business practices

  • Integrity in relationships and representation

Violations may result in immediate enforcement action, including membership suspension or termination.

7) Content, Posts, and Member Submissions

If you post, upload, share, or submit content through the Membership Services (“Member Content”), you agree that:

  • You own the rights to the content or have permission to use it

  • Your content does not violate laws or third-party rights

  • Your content will not contain harmful or malicious code

  • You will not post defamatory, discriminatory, abusive, or unlawful content

BILF may remove Member Content at its discretion, with or without notice, to protect the community.

8) Membership Fees, Renewals, and Billing (If Applicable)

If a paid membership is offered, you agree to pay all applicable fees at the time of purchase. Payments are processed via third-party providers. BILF does not store full payment card information on its servers.

Unless otherwise stated at the time of purchase:

  • Memberships may renew automatically

  • You are responsible for managing your renewal settings

  • Fees may change in the future with notice through updated pricing pages or policies

9) Cancellations and Refunds

Unless explicitly stated otherwise in writing, membership fees are non-refundable.

If you cancel your membership:

  • You may retain access until the end of your current paid period (if applicable)

  • You will lose access to member-only content and tools once your membership ends

BILF may make exceptions at its sole discretion.

10) Inactivity and Non-Participation (9+ Months)

BILF is committed to maintaining an engaged membership community.

BILF reserves the right to revoke, suspend, or discontinue membership access for non-participation lasting nine (9) months or more, as determined by BILF in its reasonable discretion.

Non-participation may include, without limitation:

  • No participation in BILF community activities, communications, or events

  • No engagement within member tools (as applicable)

  • Failure to maintain current membership profile information when requested

BILF may, but is not required to, provide an opportunity to re-engage before termination.

11) Suspension, Revocation, and Termination

BILF may suspend or terminate membership access immediately, with or without notice, for reasons including but not limited to:

  • Violation of these Membership Terms

  • Misuse of the Directory

  • Harassment, intimidation, threats, or discriminatory conduct

  • Fraudulent account activity or misrepresentation

  • Conduct that harms BILF’s community, mission, reputation, staff, volunteers, or members

  • Extended non-participation (9+ months)

Termination may result in loss of all membership-related access and content.

12) No Guarantee of Outcomes

BILF makes no guarantees regarding business outcomes, funding, partnerships, client acquisition, or other results from membership participation.

Membership provides access to community and resources, not guaranteed results.

13) Disclaimers

Membership Services may be provided “as-is” and “as available.” BILF does not guarantee uninterrupted access, error-free functionality, or continuous availability of all features.
